• Borsa Italiana S.p.A. has provided for the admission to listing of Neodecortech S.p.A. ordinary shares and warrants on the MTA
• Application submitted to Borsa Italiana S.p.A. for the admission to trading of ordinary shares and warrants on the MTA, STAR segment.

Neodecortech S.p.A. (“NDT” or the “Company”), one of Europe’s top players in the production of decorative papers for laminated panels and flooring used in interior design, listed on AIM Italia, a multilateral trading system organized and managed by Borsa Italiana S.p.A. (“Borsa Italiana“), announces that on today’s date Borsa Italiana, through notice no. 8635, has provided for the admission to listing of the Company’s ordinary shares and of the “Warrant Neodecortech 2018-2021” (the “Financial Instruments”) on the Mercato Telematico Azionario organized and managed by Borsa Italiana (“MTA“, electronic stock market) and the concurrent delisting from AIM Italia.

The Company additionally announces that it has submitted to Borsa Italiana, again on today’s date, the application for the admission to trading of the Financial Instruments on the MTA, STAR segment.

As part of the transaction, the Company has drawn up a prospectus on the admission to listing of its Financial Instruments on the MTA, which will be subject to approval by CONSOB (the “Prospectus“). The effectiveness of Borsa Italiana’s provision for the admission to listing remains subject to the filing of the Prospectus with CONSOB.

The starting date of trading of the Company’s Financial Instruments on the MTA, STAR segment, and the concurrent delisting from AIM Italia, will be established by Borsa Italiana through an appropriate notice. Through the same notice, after assessing the satisfaction of the capitalization and dissemination requirements under art. 2.2.3 of the Rules of the Markets organized and managed by Borsa Italiana and the related Instructions, Borsa Italiana will grant the STAR qualification to the ordinary shares of the Company.

The Company also announces that it complies with the simplified system envisaged by articles 70, paragraph 8, and 71, paragraph 1-bis, of the Regulation adopted by CONSOB through Resolution no. 11971 of 14 May 1999, as supplemented and amended (the “Issuer Regulation“), thus availing itself of the right to depart from the obligations to publish the information documents prescribed by articles 70, paragraph 6, and 71, paragraph 1-bis, of the same Issuer Regulation on the occasion of significant transactions relating to mergers, spinoffs and capital increases through contribution of assets in nature, acquisitions and transfers.

For the transition process on the MTA, the Company is assisted by Gianni, Origoni, Grippo, Cappelli & Partners as legal advisor, BDO Italia as the Independent Auditors, E&Y S.p.A. as consultant for the business plan and the management control system, Studio Boldrini Pesaresi & Associati as tax advisor, and Studio LMB Commercialisti Associati as consultant. BPER Banca S.p.A. acts as Sponsor and is assisted by BonelliErede as legal advisor.
